At-the-market (ATM) Offering Feeds¶
General Information¶
The VerityData at-the-market database includes all open market at-the-market offerings initiated since at least 2015 and their corresponding sales updates.
- ATM Announcements: This feed includes ATM announcements and associated details for each announcement. Types of ATM announcements include ATM initiations along with various revisions to the ATM offerings.
- ATM Sales: This file includes sales made pursuant to the ATM authorization along with associated details.
Additional Point-in-time notes¶
- Updates to company-related fields (ticker, cusip, company_name, etc.) do not trigger updates in the feed, only updates to ATM specific fields trigger an update.
- Company-related fields are as of the asof field, not the original insert, meaning values such as ticker, cusip, etc. may change when comparing an initial insert to a later update for the same offering. (e.g. an offering with ticker "FOO" at insert will show as "BAR" on subsequent updates if the company's ticker changed between the two asof dates. The original insert will always show "FOO", however.)
- Not all fields are available with point-in-time accuracy. Shares out related calculations (pctout, remaining_pct_out) are using corrected values for the relevant date.

ATM Announcements¶

| class_status | Denotes the status of the company at the time of the lastupdate. Useful to exclude posthumous edits to inactive companies from your modeling / testing. |

| plan_id | Unique plan ID provided by VerityData for the ATM offering. All revisions with matching Plan IDs were part of the same ATM offering. This field serves as a bridge to the ATM Sales feed to correlate authorizations, sales, and revisions to the same offering. |

| dollars | For dollar-based authorization, it is the dollar amount. For share-based ATM authorizations, this is computed using the Share Size for the sale and the closing price prior to the Effective Date. NULL for share-based ATMs that include non-common/ADS share-classes. |
| shares | For share related plans, it is the disclosed share amount. For dollar-based ATM authorizations, this is computed using the Dollar Size for the sale and the closing price prior to the Effective Date. NULL for dollar-based ATMs that include non-common/ADS share-classes. |
| remaining_dollars | The remaining dollar value of the ATM authorization after the announcement. For share-based ATM authorizations, this is calculated using the Remaining Shares and the closing price prior to the Effective Date. NULL for share-based ATMs that include non-common/ADS share-classes. |

| upto | Commission was disclosed as being "up to" stated percentage ("up to 3.0%" etc.). |
| use_proceeds | The company's expected use of proceeds from the ATM. |
| use_proceeds_notes | Additional/specific use of proceeds information disclosed in the ATM. This is added at the discretion of our analysts. |
| other_notes | Additional/specific commission disclosed in the ATM. This is added at the discretion of our analysts. |
| sales_agents | Disclosed sales agents for the ATM. Only available on 'New ATM' entries. |
| rowid | This is the unique identifier of each row within the ATM announcements tables. If an edit comes for a specific RowID, you can replace the existing RowID in your table with the latest information. |
| insert_date | Date that the record was added to the VerityData database. |
| last_update | The date of the last update for this entry. |
| split_edit | TRUE if the update is due to a split, otherwise FALSE |
| edit_action | "U" for update, "D" for delete and "I" for new insert. |

ATM Sales¶
